2. Definitions

• "Innov8av": Refers to Innov8av, its affiliates, and assigns.
• "Services": Includes all products and services offered by Innov8av, such as alarm systems, CCTV, access control, and monitoring services.
• "Device(s)": Any hardware provided by Innov8av or third parties for use with our Services.
• "Customer": Any individual or entity using Innov8av’s Services.
• "Personal Information": Data related to an identifiable individual, as defined under GDPR and CCPA.
• "GDPR": General Data Protection Regulation (EU) 2016/679.
• "CCPA": California Consumer Privacy Act.

3. Use of Services

• Eligibility: You must be 18 years or older and capable of forming a binding contract.
• Compliance with Laws: You agree to use the Services in compliance with all applicable laws, including GDPR and CCPA. You are responsible for obtaining any necessary permits for the use of our security systems.
• Authorized Use: Our Services are intended for personal, residential, or authorized business use. Commercial use requires explicit written permission.

4. System Performance and Limitations

• Disclaimer of Guarantee: Innov8av provides services to help mitigate risks but does not guarantee prevention of incidents like burglary or fire. The effectiveness of the Services depends on proper installation, maintenance, and network reliability.
• Service Interruptions: Innov8av is not liable for service interruptions caused by factors beyond our control, such as power outages or natural disasters.
• Insurance: Innov8av is not an insurer. You are responsible for securing appropriate insurance coverage for your property.

5. Limitation of Liability

• General Limitation: Innov8av’s liability is limited to the amount you paid for the Services in the last 12 months or $500, whichever is less. We are not liable for indirect, incidental, or consequential damages.
• Indemnification: You agree to indemnify and hold Innov8av harmless from any claims or damages arising from your use of the Services.
• Force Majeure: Innov8av is not liable for any delay or failure in performance due to events beyond our control, including natural disasters, war, or internet failures.

6. Payment Terms

• Billing and Payment: You agree to pay all fees as outlined in your service agreement. Innov8av reserves the right to suspend or terminate services if payment is not received.
• Auto-Renewal: Service contracts automatically renew unless canceled with 30 days' notice before the renewal date.
• Non-Payment: Failure to pay may result in service suspension or termination, and Innov8av may pursue collection actions.

7. Cancellation and Termination

• Cancellation by You: You can cancel your services at any time with written notice. Early termination may incur fees as outlined in your agreement. Prepaid fees are non-refundable.
• Cancellation by Innov8av: We reserve the right to terminate or suspend services if you violate these terms, fail to pay, or due to technological changes. Refunds will be provided for services not rendered, minus any dues.

8. Privacy and Data Security

• GDPR and CCPA Compliance: We are committed to protecting your data. EU and California residents have specific rights under GDPR and CCPA, including data access, correction, deletion, and opting out of data sales.
• Data Collection and Processing: We collect personal data necessary to provide services. This data may be shared with third parties as required. By using our services, you consent to this data collection.
• Data Transfer: We may transfer your data to third parties in other countries with appropriate safeguards in place.
• Security of Data: We use industry-standard measures to protect your data but cannot guarantee absolute security. You agree to hold us harmless for any data breaches.
• Audio/Video Recording: If your services include recording, you must comply with applicable laws, including obtaining consent from individuals being recorded.

9. Dispute Resolution

• Governing Law: This Agreement is governed by the laws of California.
• Arbitration: Disputes will be resolved through binding arbitration in Los Angeles, per AAA rules. Both parties waive the right to a jury trial or class action.
• Mediation Before Arbitration: Disputes will first be mediated. If mediation fails, arbitration will follow.
• Small Claims: Innov8av will not elect arbitration if you file a dispute in small claims court within the court’s jurisdiction.

10. Changes to Terms

Innov8av may modify these terms at any time. We will notify you of changes via email or by posting them on our website. Continued use of the Services constitutes acceptance of the revised terms.

13. Additional Provisions

• International Use: Innov8av services are intended for U.S. use. If accessed outside the U.S., compliance with local laws is your responsibility.

• Severability: If any provision is invalid, the remaining provisions remain in effect.
• Entire Agreement: This Agreement constitutes the entire understanding between you and Innov8av, superseding any prior agreements.
